Project contract terms.

This Project Agreement (“Agreement”), dated as of __, is entered into between Lunar Web Development Ltd., a company incorporated under the laws of England and Wales, having its registered office at Lunar Web Development Limited, Henleaze Business Centre, Harbury Road, Bristol, BS9 4PN and Company Number of 11202954, (“Lunar”) and __ a company incorporated under the laws of England and Wales with company number ___ and having its registered offices at ____ (“Client”), (each a “Party” and together referred to as the “Parties”).
Project Confirmation.
1.1 - Once an estimate or proposal has been submitted by Lunar and subsequently reviewed and accepted by the client, Lunar will submit a project contract agreement via email.
1.2 - Lunar require a response of acceptance at this stage - this acceptance forms a contract and acts as confirmation that the project is booked in (even if the specific start date is not yet scheduled).
1.3 - At this stage both parties will endeavour to agree a suitable start date and timeline for the project.
1.4 - Lunar are unable to ‘pencil in’ a project into the work schedule, a project is only secured in the work schedule once dates and timelines have been confirmed in writing between the Client and Lunar.
Cancellation and Payment Terms.
2.1.1 - Payment must be made no more than 30 days after date of invoice unless otherwise agreed in writing in advance.
2.1.2 - We understand and will exercise our statutory right to interest under the Late Payment Of Commercial Debts (Interest) Act 1998 amended by European Directive 2000/35/EC if we are not paid according to these terms.
2.2.1 - All invoices are subject to UK VAT at the current rate, unless a valid exemption certificate is provided.
2.2.2 - All payments must be in UK Pounds Sterling.
2.3 - All work completed after project inception will be billed as it is completed at the end of every 28 day period as Work in Progress (WIP) until the conclusion of the project.
2.4.1 - If Lunar incurs any costs as a result of the Client’s neglect or default, Lunar may charge those costs to the Client.
2.4.2 - The Client shall pay for any preliminary work which is produced at their request, whether exploratory, experimental, research or other.
2.5.1 - 50% of the project estimate is chargeable should the Client cancel the project within 2 weeks of the agreed start date.
2.5.2 - 25% of the project estimate fee is chargeable should the Client cancel the project within 4 weeks of the agreed start date.
2.6 - When payment is overdue, Lunar may suspend work, service and/or delivery without notice and without prejudice to any other legal remedy until due payment has been made. Furthermore, any work started but incomplete may be suspended and payment therefore becomes immediately due and payable, notwithstanding anything expressed herein, and any monies in respect of.
2.7 - Lunar may require payment in advance, or a deposit of at least 50% of the estimate total prior to instigating work on an order, particularly but not limited to the following situations: new clients; clients with a poor payment history; large, lengthy or complex projects.
Estimates.
3.1 - Lunar supply estimates based on the information provided by the client and gathered during any scoping and planning work.
3.1.2 - An estimate should be seen as exactly that, a best guess estimation based on all of the information we have been provided at the time of estimation - Lunar do not work to a fixed price and will charge for time spent.
3.1.3 - Lunar endeavour to keep to an agreed timeline / estimate and will do our best to inform the client of time / cost overruns in a timely fashion.
3.1.4 - Lunar will proactively plan and communicate with the client with the aim of bringing a project in on-estimate, this may include suggestions for functionality to be excluded or simplified to reduce work required.
3.2 - Any changes to the original specification of the project (as agreed in the estimate), including but not limited to designs, functionality or scope will incur additional charges and impact the timeline of the project.
Amendments.
4.1 - Amendments are to be provided in a clear, well documented format, to be actioned in a single round at the end of the project build.
4.2 - Additional rounds of amendments may be charged extra and extend the timeline of the project.
Delays.
5.1 - Once a project is booked into the work schedule any amendments to the timeline or start date must be agreed with Lunar with reasonable notice (at least 2 weeks).
Deployment / server setup / server architecture.
6.1 - Unless otherwise stated a build estimate is just that; it does not include deployment to any server or setup of any server architecture.
6.2 - Lunar can offer these services and are happy to provide a separate estimate to cover these aspects
Things we don’t do.
Services Lunar do not provide as standard on a build:
- SEO
- Accessibility (above and beyond what is considered standard best practice)
- Content population or updates (unless otherwise agreed)
The Client will be deemed to have accepted the terms of this Agreement which will then become binding on the Client notwithstanding the absence of a signed document in the event the Client instructs (verbally or in writing) the Company to undertake work relevant to the Services described herein.
